Shop Terms and Conditions
§1. General provisions
- These Terms set out the rules for selling goods through the online shop operated on automatics.pro (the “Shop”): placing orders, concluding contracts, prices, payment, delivery, withdrawal and complaints. For the Shop’s services they are also the terms referred to in Article 8 of the Polish Act of 18 July 2002 on Providing Services by Electronic Means.
- The seller is R&L sp. z o.o., registered office: ul. Marcina Kasprzaka 31/119, 01-234 Warszawa, Poland, entered in the register of entrepreneurs of the Polish National Court Register under KRS 0001238807, NIP (tax ID) 5273217497, REGON 544629001, email: info@automatics.pro, phone +48 793 996 171 (the “Seller”).
- These Terms are made available free of charge before the contract is concluded in a way that allows them to be obtained, reproduced and stored (saving or printing the page). The Terms in force when the order is placed are also sent in the order confirmation email.
- Definitions:
- Customer — a natural person, legal person or organisational unit without legal personality but with legal capacity, placing an order in the Shop;
- Consumer — a Customer who is a consumer within the meaning of Article 221 of the Polish Civil Code;
- Sole trader with consumer rights — a natural person concluding a contract directly related to their business activity where the contract shows that it is not of a professional nature for that person, in particular in view of the subject of their business as disclosed in the Polish Central Register and Information on Economic Activity (CEIDG);
- Business Customer (B2B) — a Customer who is neither a Consumer nor a Sole trader with consumer rights;
- Working day — Monday to Friday, excluding public holidays in Poland;
- Contract — a contract for the sale of goods concluded between the Seller and the Customer through the Shop.
- The other features of the website (articles, configurators, quotation requests) are governed by the Terms of Service. Personal data and cookies are described in the Privacy Policy.
§2. Technical requirements and electronic services
- To use the Shop you need a device with internet access, an up-to-date web browser with JavaScript and necessary cookies enabled, and an active email address.
- The Seller provides the following electronic services free of charge: the shopping cart, the order form and — where the Shop offers it — a Customer account. The cart and order form service ends when the order is placed or when you stop using them. A Customer account is kept for an indefinite period; you may delete it at any time by emailing the Seller.
- No account is required to place an order.
- Customers must not supply unlawful content or disrupt the operation of the Shop.
§3. Goods and prices
- Goods offered in the Shop are new. Descriptions, specifications and documents are shown on each product page.
- Goods are ordered in from the manufacturer. The product page states the expected dispatch time; unless stated otherwise it is 5–10 working days from the day the payment is credited to the Seller’s account.
- Prices are shown in Polish zloty (PLN) or — if selected — in euro (EUR). By default the Shop shows gross prices including VAT charged in accordance with the applicable law. Customers buying as a company can switch the view to net prices (the “net/gross” switch). The invoice price includes VAT determined under tax law (§10(4)); reverse charge for buyers from other EU Member States applies only if the Seller is registered for intra-Community transactions.
- Prices do not include delivery. The delivery cost and the total amount payable are shown in the order summary before the order is placed or, for individually quoted delivery (§6(3)), sent to the Customer before the Contract is concluded.
- The price shown in the order summary when the order is placed, in the currency selected by the Customer, is binding.
- Whenever a price is reduced, we also show the lowest price of the product in the 30 days before the reduction, in accordance with Article 4(2) of the Polish Act of 9 May 2014 on Price Information for Goods and Services.
- Product information in the Shop is an invitation to conclude a contract within the meaning of Article 71 of the Polish Civil Code.
§4. Orders and conclusion of the Contract
- To order, the Customer adds goods to the cart, states whether they are buying as a private person or as a company (in which case they enter a NIP or EU VAT number), selects the country of delivery, enters contact details and the delivery address, chooses a delivery method, reads the Terms and the Privacy Policy, and confirms the order with a button labelled “Order with obligation to pay” or an equivalent unambiguous wording.
- Before placing the order, the Customer sees a summary — goods, quantities, prices, delivery cost (or a note that delivery will be quoted individually), payment method and total amount — and can correct the data entered.
- Placing an order is an offer to conclude the Contract. The Seller promptly confirms receipt of the order by email. The Contract is concluded when the Customer receives the email confirming that the order has been accepted for fulfilment.
- If the order requires an individual delivery quote (§6(3)), the Seller sends the quote by email. The Contract is concluded when the Customer accepts the quote (by replying by email or by paying the total amount quoted). A Customer who does not accept the quote bears no costs and the order is cancelled.
- The NIP or EU VAT number of a Business Customer from another EU Member State is checked in the European Commission’s VIES system. The result may affect the VAT treatment (§10(4)).
- The content of the Contract — order details, these Terms and information required by law — is recorded and sent to the Customer on a durable medium (email, PDF file) no later than at dispatch.
- If, after the Contract is concluded, the manufacturer cannot supply the goods on time, we will inform the Customer without delay and propose a new date. The Customer may then withdraw from the Contract for those goods; the amount paid for them is refunded without delay and within 14 days at the latest.
§5. Payment
- At present the only payment method is prepayment by bank transfer to the Seller’s bank account.
- Payment details — payee (R&L sp. z o.o.), account number, amount and transfer reference (order number) — are provided after the order is placed, in the confirmation email and on the pro forma invoice. If the payment details were not displayed, we will send them by email.
- The Customer pays within 7 days of the conclusion of the Contract. If payment is not received, the Seller will request payment within an additional period of at least 3 days, after which it may withdraw from the Contract.
- The fulfilment time runs from the day the payment is credited to the Seller’s account.
- For each sale the Seller issues an invoice in accordance with VAT law, including — where required by law — in the Polish National e-Invoicing System (KSeF). The invoice or its visualisation is sent to the Customer electronically.
- Details: Payments.
§6. Delivery
- We deliver via InPost within Poland: to a selected InPost Paczkomat parcel locker (within the size and weight limits for locker parcels) or by InPost courier to the address provided. The parcel locker is selected on the InPost map at the delivery step of the order form.
- The delivery cost is calculated according to the Shop’s delivery price list and shown in the order summary before the order is placed.
- For orders whose weight, dimensions or value exceed the limits of a standard parcel, and for deliveries outside Poland, the cost and method of delivery are agreed individually. The order then receives the status “awaiting delivery quote” and the Seller sends a quote in accordance with §4(4).
- The expected dispatch time is shown on the product page; unless stated otherwise it is 5–10 working days from the day the payment is credited. If an order includes goods with different lead times, we ship them at the longest lead time or — at no extra cost to the Customer — in parts. InPost’s delivery time is added to the dispatch time.
- Please check the parcel on receipt and, if it is damaged, write a damage report with the courier or report the damage to InPost. For Consumers and Sole traders with consumer rights this is not a condition for exercising the rights under §7 and §8, but it helps to resolve the matter.
- The risk of accidental loss of or damage to the goods passes to a Consumer or Sole trader with consumer rights when the goods are handed over to them (Article 548 §3 of the Polish Civil Code), and to a Business Customer when the goods are handed over to the carrier (§10(3)).
- Details: Delivery.
§7. Right of withdrawal
- A Consumer and a Sole trader with consumer rights (Article 38a of the Polish Consumer Rights Act of 30 May 2014) may withdraw from the Contract within 14 days without giving any reason and without incurring any costs other than those set out in paragraphs 6–8 (Article 27 of the Consumer Rights Act).
- The period runs from the day the Consumer, or a third party other than the carrier indicated by the Consumer, takes possession of the goods; where the Contract covers several goods delivered separately — from taking possession of the last of them (Article 28 of the Consumer Rights Act).
- To withdraw, it is sufficient to send an unequivocal statement before the period expires, by email to info@automatics.pro or by post to the Seller’s registered office. You may use the withdrawal form (Annex 1), but this is not obligatory. We will confirm receipt by email without delay.
- The Seller refunds all payments received, including the cost of delivery to the Customer (up to the cost of the cheapest standard delivery method offered in the Shop), without delay and within 14 days of receiving the withdrawal statement at the latest. The refund is made by bank transfer to the account from which payment was made, unless the Customer expressly indicates another account; the Customer bears no costs of the refund.
- The Seller may withhold the refund until it has received the goods back or until the Customer has supplied proof of having sent them back, whichever is earlier.
- The Customer sends the goods back without delay and within 14 days of withdrawing at the latest, to the return address given in the order confirmation or, if none is given there, to the Seller’s registered office. The deadline is met if the goods are sent before it expires. The Customer bears the direct cost of returning the goods.
- If, by their nature (e.g. weight or size), the goods cannot normally be returned by post, the Customer also bears the direct cost of returning them (Article 12(1)(9) of the Consumer Rights Act). We provide an estimate of that cost on request before the order is placed or in the individual delivery quote (§6(3)).
- The Customer is liable for any diminished value of the goods resulting from handling beyond what is necessary to establish their nature, characteristics and functioning (e.g. installing them, connecting them to a live supply, damage caused during installation).
- The right of withdrawal does not apply in the cases listed in Article 38(1) of the Consumer Rights Act, in particular for goods made to the Customer’s specifications or clearly personalised (e.g. a distribution board assembled to the Customer’s design, a product cut to length) and for goods which, by their nature, are inseparably mixed with other items after delivery. We will inform you of such a feature before you place the order.
- Details and form: Returns and complaints.
§8. Complaints — lack of conformity of goods
- The Seller is liable to Consumers and to Sole traders with consumer rights (Article 7aa of the Consumer Rights Act) for any lack of conformity of the goods with the Contract that exists at the time of delivery and becomes apparent within two years of that time, on the terms of Chapter 5a of the Consumer Rights Act (Articles 43a–43g).
- If the goods are not in conformity with the Contract, the Customer may request repair or replacement. The Seller may replace the goods where the Customer requested repair, or repair them where the Customer requested replacement, if the method chosen by the Customer is impossible or would involve excessive costs compared with the other method (Article 43d(2) of the Consumer Rights Act). If both repair and replacement are impossible or would involve excessive costs, the Seller may refuse to bring the goods into conformity (Article 43d(3) of the Consumer Rights Act). The Customer may declare a price reduction or withdraw from the Contract in the cases set out in Article 43e of the Consumer Rights Act, in particular where the Seller has refused or failed to repair or replace the goods, where the lack of conformity persists, or where it is so serious as to justify an immediate price reduction or withdrawal. Withdrawal is not possible if the lack of conformity is minor.
- On withdrawal due to lack of conformity, the Customer returns the goods without delay at the Seller’s expense, and the Seller refunds the price without delay and within 14 days of receiving the goods or proof of their return; on a price reduction, the Seller refunds the difference without delay and within 14 days of receiving the Customer’s statement (Article 43g of the Consumer Rights Act).
- Complaints can be sent by email to info@automatics.pro or by post to the Seller’s registered office. To help us, please state the order number, a description of the problem, the date it was noticed and your request, and attach photos if possible. These are not conditions for a valid complaint.
- The Seller replies to a complaint within 14 days of receiving it. If no reply is given within that time, the complaint is deemed accepted (Article 7a of the Consumer Rights Act).
- The costs of repair or replacement, including shipping, are borne by the Seller. The Customer makes the goods available to the Seller, and the Seller collects them at its own expense (e.g. by a shipment it orders).
- If the manufacturer has given a guarantee, its terms are set out in the guarantee document. A guarantee does not exclude, limit or suspend the rights relating to lack of conformity.
- Complaints about the Shop as an electronic service are handled within 14 days under the Terms of Service.
§9. Out-of-court complaint and redress procedures
- Consumers may use out-of-court procedures for handling complaints and pursuing claims, in particular:
- free assistance from a municipal or district consumer ombudsman or a consumer organisation (e.g. Federacja Konsumentów, Stowarzyszenie Konsumentów Polskich);
- mediation by the regional Trade Inspection (Inspekcja Handlowa) competent for the Seller’s registered office (Warsaw);
- bodies authorised to resolve consumer disputes out of court that are entered in the register kept by the President of the Office of Competition and Consumer Protection (UOKiK), under the Polish Act of 23 September 2016 on Out-of-Court Resolution of Consumer Disputes;
- for cross-border disputes in the European Union — the European Consumer Centre in Poland or in the Consumer’s country of residence.
- The EU Online Dispute Resolution (ODR) platform was closed on 20 July 2025 under Regulation (EU) 2024/3228; disputes can be resolved as described in paragraph 1.
- Participation in out-of-court dispute resolution is voluntary for both parties. If a complaint is not upheld, we will inform the Consumer whether we agree to out-of-court dispute resolution.
§10. Terms for Business Customers (B2B)
- This section applies only to Business Customers; the rest of these Terms applies otherwise. It does not apply to Sole traders with consumer rights.
- Business Customers do not have the right of withdrawal described in §7. Goods free from defects may be returned only with the Seller’s prior consent and on individually agreed terms.
- The risk of accidental loss of or damage to the goods passes to the Business Customer when the goods are handed over to the carrier (Article 544 §1 of the Polish Civil Code). The Customer should check the parcel on receipt and, if it is damaged, write a damage report with the carrier; the Seller helps to pursue claims against the carrier.
- Business Customers can switch the price view to net prices (§3(3)). The VAT added to the net price on the invoice is determined by law:
- for delivery within Poland — at the Polish rate;
- for delivery to another EU Member State — VAT is charged in accordance with the applicable law. The 0% rate for an intra-Community supply of goods with reverse charge (VAT accounted for by the buyer, noted on the invoice) applies only if the Seller is registered for intra-Community transactions (EU VAT) on the date of sale and the Customer’s EU VAT number is confirmed as valid in VIES. In that case the Customer undertakes to provide documents confirming delivery of the goods to another Member State if the Seller asks for them. Otherwise Polish VAT is charged;
- for delivery outside the European Union — under export rules, only after the Seller individually confirms the order.
- The Seller’s liability towards Business Customers under the statutory warranty for defects (rękojmia, Article 556 et seq. of the Polish Civil Code) is excluded (Article 558 §1 of the Polish Civil Code). The Seller assists in exercising rights under the manufacturer’s guarantee, if one has been given.
- The Seller’s liability towards a Business Customer for non-performance or improper performance of the Contract is limited to actual loss and to the price of the goods concerned; it does not cover lost profits. This limitation does not apply to damage caused intentionally.
- The United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) does not apply to Contracts with Business Customers. Disputes are resolved by the court competent for the Seller’s registered office.
§11. Personal data
The Seller is the controller of Customers’ personal data. We process data to conclude and perform the Contract and to meet legal obligations, as described in the Privacy Policy.
§12. Final provisions
- Polish law governs the Contracts. This choice of law does not deprive a Consumer of the protection afforded by provisions that cannot be derogated from by agreement under the law of the country of their habitual residence.
- Nothing in these Terms excludes or limits the rights of Consumers and Sole traders with consumer rights under mandatory law; in case of conflict, the mandatory law prevails.
- The Seller may amend these Terms for valid reasons, in particular changes in the law, payment or delivery methods, or the scope of the Shop’s services. Orders placed before an amendment are governed by the Terms in force when the order was placed.
- These Terms apply from 20 October 2026.
